14. Dispute Resolution and Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
14.1 Agreement to Arbitrate
You and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any products or services (collectively, “Disputes”) shall be resolved exclusively through binding commercial arbitration, rather than in court, except that either party may seek equitable relief in court for infringement or misappropriation of intellectual property rights.
14.2 Arbitration Procedures
Arbitration shall be administered by a nationally recognized commercial arbitration organization under its then-current commercial arbitration rules. The arbitration shall be conducted by a single arbitrator. The seat and venue of arbitration shall be in the State of California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.3 Arbitration Fees and Costs
The claimant (the party initiating the arbitration) shall be responsible for the payment of all arbitration fees and costs, including but not limited to filing fees, arbitrator compensation, hearing fees, administrative fees, and the reasonable attorneys' fees and costs of both parties. This provision applies regardless of the outcome of the arbitration.
14.4 Class Action Waiver
YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
14.5 Opt-Out
You may opt out of this arbitration agreement by sending written notice to us at [email protected] within thirty (30) days of your first use of the Site. Your opt-out notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.
15. Governing Law and Jurisdiction
These Terms and any Disputes shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. To the extent that litigation is permitted under these Terms (including for equitable relief), you consent to the exclusive jurisdiction of the state and federal courts located in the State of California.
16. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
17. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms applicable to specific features or services, constitute the entire agreement between you and the Company regarding your use of the Site and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.
18. Modifications to Terms
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Site with an updated “Last Updated” date. Your continued use of the Site after any modifications constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
